Terms of Service

1. Agreement to Terms

By accessing or using the TrustSyte website at trustsyte.com ("Site") or engaging our website design and development services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Site or Services.

These Terms constitute a legally binding agreement between you ("Client" or "you") and TrustSyte ("Company," "we," "us," or "our"), a business operating in the State of Utah.

2. Description of Services

TrustSyte provides professional website design, development, and hosting services for small and medium-sized businesses. Our service tiers include:

  • Trust Foundation: Up to 3-page website, $499 setup fee, $75/month maintenance
  • Growth Pro: Up to 5-page website, $999 setup fee, $99/month maintenance
  • Business Elite: Up to 10-page website, $1,999 setup fee, $199/month maintenance

Specific deliverables, timelines, and features for each project will be detailed in a separate Project Agreement or Statement of Work provided prior to project commencement.

3. Payment Terms

  • Setup Fee: The full setup fee is due prior to commencement of design and development work.
  • Monthly Fees: Monthly maintenance and hosting fees are billed on the same date each month following project launch. Fees are due within 7 days of the billing date.
  • Late Payments: Accounts more than 14 days past due may result in suspension of services, including website hosting, until the account is brought current.
  • Refunds: Setup fees are non-refundable once design work has commenced. Monthly fees are non-refundable for the current billing period.
  • Price Changes: We reserve the right to modify pricing with 30 days' written notice to active clients.

4. Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely content, materials, and feedback necessary for project completion
  • Designate a primary point of contact with authority to make decisions regarding the project
  • Review and provide feedback on deliverables within the timeframes specified in the Project Agreement
  • Ensure all content you provide does not infringe on any third-party intellectual property rights
  • Maintain the confidentiality of any account credentials provided to you
  • Use our services only for lawful purposes and in compliance with all applicable laws

5. Intellectual Property

Client Content

You retain all ownership rights to content, logos, images, and materials you provide to us. By providing such materials, you grant TrustSyte a limited license to use them solely for the purpose of delivering the agreed Services.

Deliverables

Upon receipt of full payment for setup fees, TrustSyte assigns to you all rights to the custom design elements and content created specifically for your project. Standard templates, frameworks, third-party libraries, and proprietary tools used in development remain the property of their respective owners.

Portfolio Rights

TrustSyte reserves the right to display your completed website in our portfolio and marketing materials unless you request otherwise in writing prior to project launch.

6. Service Level and Availability

TrustSyte will make commercially reasonable efforts to maintain website uptime and availability. We do not guarantee 100% uptime and are not liable for downtime caused by third-party hosting providers, internet infrastructure failures, or circumstances beyond our reasonable control.

7. Limitation of Liability

To the maximum extent permitted by applicable law, TrustSyte's total liability to you for any claims arising from or related to these Terms or our Services shall not exceed the total fees paid by you to TrustSyte in the three (3) months preceding the claim.

TrustSyte shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of business opportunities, even if we have been advised of the possibility of such damages.

8. Termination

Either party may terminate the ongoing service relationship with 30 days' written notice. Upon termination:

  • All outstanding fees become immediately due and payable
  • TrustSyte will provide you with a copy of your website files within 14 days of termination
  • Website hosting will be discontinued at the end of the final paid period
  • TrustSyte reserves the right to terminate services immediately for non-payment or violation of these Terms

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in Salt Lake County, Utah, in accordance with the rules of the American Arbitration Association.

10. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our Services will meet your specific requirements or that they will be uninterrupted, error-free, or completely secure.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or by posting a notice on our website. Your continued use of our Services after the effective date of any changes constitutes your acceptance of the revised Terms.
